Islamabad: VimpelCom, Global Telecom Holding (GTH), together with Warid Telecom Pakistan and Bank Alfalah (Dhabi Group shareholders), today received the approvals from Islamabad High Court to merge Pakistan Mobile Communications Limited (Mobilink) and Warid Telecom (Warid). Earlier this year Mobilink and Warid had received approvals from Pakistan Telecom Authority, Competition Commission of Pakistan, Securities and Exchange Commission Pakistan, local and international creditors and State Bank of Pakistan. 

Jean-Yves Charlier, Chief Executive Officer of VimpelCom, said: “The High Court’s approval of the merger between Mobilink and Warid, confirms the creation of a world-class champion in Pakistan, and it marks another major step in VimpelCom’s transformation into a leading global technology group with the ambition to bring digital opportunities and experiences to a tenth of the world’s population.”

Jazz & I-SAPS Showcase Potential of Mobile Adult Female Literacy Program

Institute of Social and Policy Sciences (I-SAPS), in collaboration with Jazz and GuarantCo, held a showcase event to share the success of their Mobile-based Adult Female Literacy Programme in Khyber Pakhtunkhwa (KP), and the lessons learnt from the programme, which can be utilized for similar projects in the future.



The ‘SMS-based Adult Female Literacy Programme’ under the combined efforts of I-SAPS, Jazz and GuarantCo, has so far enabled over 4,000 adult females to read the newspaper, write in Urdu, perform everyday calculations and gain necessary life skills.

This is being done with the help of four specifically-designed textbooks and freely-given mobile phones in eight districts of KP, namely, Mardan, Swabi, Nowshera, Buner, Malakand, Haripur, Mansehra and Kohat, where more than three out of every five females are unable to read and write.

The chief guests for the showcase event included Ms. Anusha Rahman Ahmad Khan, Minister of State for Information Technology & Telecom, Engr. Qamar ul Islam Raja, Chairperson, Standing Committee on Education – Punjab, Ms. Judith Herbertson, Deputy Country Head – Department for International Development, Dr. Shahzad Khan Bangash, Secretary of Elementary & Secondary Education – KP, and Aamir Ibrahim, CEO – Mobilink & Warid Pakistan.

“In developing countries, Mobile Learning has become an effective medium to improve access to education and facilitate the alternative learning processes. Besides improving access, it has also proved effective in evading structural limitations, such as cost and infrastructure, as showcased by the success of the ‘SMS-based Adult Female Literacy Programme’ in KP,” said Ms. Anusha Rahman Khan. “The government supports the use of Information and Communication Technology to empower women across Pakistan.”

“Our Mobile Literacy project in KP looked to overcome the prevalent social and cultural barriers to female education. The project’s success was achieved by respecting the existing cultural and social norms, developing a sense of ownership amongst the local communities in providing basic literacy to their female family members, and introducing innovation,” said Dr. Salman Humayun, Executive Director – I-SAPS. “We believe that a customised curriculum along with the use of Information and Communication Technologies is the future of sustained learning, especially in areas with low literacy rates.”

“Our group-wide ‘Make Your Mark’ (MYM) initiative feeds directly into Mobilink’s corporate responsibility strategy by helping young people in Pakistan through technology, expertise and knowledge. This Mobile Literacy programme is one of the initiatives under the MYM platform, and allows us to utilize leadership position to reach out to those females who are cut off entirely from the conventional educational system,” said Aamir Ibrahim. “We look forward to continuing our work with I-SAPS and GuarantCo in a bid to empower women across the country, so they too reap the benefits of the ongoing digitalization across the world.”

Since community ownership was deemed a cornerstone to make this Mobile-based initiative sustainable, active members of the communities were engaged, sensitised and grouped in the form of 154 Village Education Support Committees for their practical involvement in the planning and execution of the initiative. The members of these committees include representatives from all sections of the community, especially the respected elders and influential individuals.

As a result, I-SAPS and Jazz not only had an all-out community support in identification of local female teachers and learners in each of the district, but also managed to establish around 150 easily-accessible Adult Literacy Centres (ALCs), where adult females of ages between 15 and 35 years were enrolled and imparted basic literacy skills.

As the learners gained some level of literacy during their basic literacy coursework, each of them has been provided with a mobile phone in order to practice and further develop their newly acquired skills.

In early 2013, the ‘SMS Based Literacy’ program won the GSMA’s Global Mobile Award in the ‘Connected Life Awards’ category, and was acknowledged as the ‘Best Mobile Education or Learning Product or Service’.

The program was highlighted by the competition’s jury as an “Excellent and needed mobile initiative with an explicit educational ideology that opens up new learning opportunities for a disadvantaged, rural group.”

Lahore Qalandars, has signed a contract with Big Bash League (BBL) franchise ‘Sydney Thunder’, which will allow the two to exchange academy facilities, training staff, and emerging players. The contract allows Lahore Qalandars’ emerging players to use Thunder’s facilities.

Aqib Javed, Director of Cricket Operations – Lahore Qalandars, said, “I am excited to see whether the talent we find is capable of adapting to the challenge being put before them. It will not be easy and the applicants will have to push themselves harder than they have everdone before. Some will rise and some will fall, but I hope the two that emerge justify our trust in them.”

‘The Jazz Rising Stars’will be divided in to three stages and targets eight major cities of Punjab, namely, Lahore, Rawalpindi, Faisalabad, Gujranwala, Sargodha, Multan, Bahawalpur and Dera Ghazi Khan.

During the first stage, a talent hunt will be conducted in each of the eight cities. At the end of the two day trial, 16 players will be shortlisted from each city.

In the second stage, a tournament will take place, where the eight city-wise teams made up of the 16 shortlisted players will go head to head for the Jazz Rising Stars Trophy. Two of the best performing players at the tournament’s conclusion will be given the opportunity to join the official Lahore Qalandars squad for PSL 2017.

30 players chosen from the Jazz Rising Stars Tournament, will be invited to take part in the Development Academy – the third phase of the initiative. The players’ boarding and lodging will be taken care of entirely by Lahore Qalandars. State of the art training facilities and international quality coaching will be made available to the players at this academy.

‘Jazz Rising Stars’ will be commencing from the 26th of August, 2016 with the Jazz Rising Stars Tournament taking place on the 1st of October, 2016 after the end of phase one.

As part of Mobilink’s undeterred vision of empowering women to the forefront within the company and promoting their role in the wider community, Mobilink collaborated with the School of Leadership (SoL) for the 15th Young Leaders Conference (YLC2016).

The six day event, which is a thought-provoking leadership conference, was held in Karachi, and some 300 students participated from 65+ cities & villages.

Mobilink sponsored 18 ambitious female participants belonging to far flungareas, such as Larkana, Ghotki, Nawabshahand Jahurabad etc.These young girls were chosen based on their passion and aspiration to make a difference in the community around them.

In addition to mentoring sessions for participants held by the Mobilink team, a Key Note Session – Drop the Gender Mask – was also conducted by representatives of Mobilink,where participants were made aware of gender equality and inclusion at the workplace, and highlighted Mobilink’s efforts for the same across all fronts.

Salman Hafeez, Senior HR Business Partner- South, Mobilink invoked incredible engagement from the audience and reinforced the criticality of the issue by sharing that, “In an organization where you are only using 50% of your strength to help you achieve your strategy, will you lead the market? Just like that, how will a country where 50% of your population is not encouraged to contribute to the economy, progress?”

Shireen Naqvi, founder of SoL, appreciated Mobilink’s efforts by stating, “The session brought clarity on certain sensitive, gender-centric concepts and enlightened the audience on shifting mindsets from the conventional gender power imbalance towards building a more constructive togetherness.”

Combined entity to serve over 50 million customers as Pakistan’s leading high-speed mobile network

Amsterdam/Cairo/Islamabad: VimpelCom, Global Telecom Holding (GTH), together with Warid Telecom Pakistan and Bank Alfalah (Dhabi Group shareholders), today announced the completion of the transaction to merge Pakistan Mobile Communications Limited (Mobilink) and Warid Telecom (Warid), creating Pakistan’s next generation digital telecommunications provider.

Over 50 million customers in Pakistan will benefit from high-speed mobile telecommunications and a best-in-class digital mobile network. The combined Mobilink and Warid entity will be the leading telecommunications provider of 2G, 3G and LTE services in Pakistan, providing higher quality national voice and data coverage, faster downloads, and a wider portfolio of products and services.

Mobilink and Warid will benefit from VimpelCom’s USD 1 billion1 investment into building one of the largest and most ambitious IT infrastructures in the industry. The Group’s new digital systems will enable faster roll-out of new local products and services, particularly in the areas of mobile entertainment, communications, the Internet of Things, and mobile financial services. Through this, Pakistan’s digital development will be elevated to the next level, further reducing the digital divide.

VimpelCom, GTH and Dhabi Group announced the agreement to combine their Pakistan telecommunication businesses on 26 November 2015. The completion of the transaction follows regulatory approval2 from all the relevant authorities and the subsequent exchange of shares. Mobilink has completed the acquisition of 100 percent of Warid’s shares, and the Dhabi Group Shareholders have acquired 15 percent of the shares of Mobilink3.

With the completion of the merger transaction, Mobilink now enters the next major phase of its transformation and Chief Executive Officer Jeffrey Hedberg will hand over the CEO role of Mobilink and Warid to Aamir Ibrahim, currently Chief Commercial Officer and Deputy CEO of Mobilink. Aamir will drive forward and execute the Mobilink and Warid integration, supported by a world-class transformation team from the VimpelCom Group. Mobilink’s turnaround over the past two years has shown significant improvements in service revenue growth (from -5% to +12% year on year), ARPU (from -11% to +15% year on year) and increased EBITDA margins (from -3 p.p. to +4 p.p year on year).

With effect from today, the Mobilink board is chaired by His Highness Sheikh Nahyan Mubarak Al Nahyan, with Jon Eddy as Vice Chairman and consists of five other directors nominated by VimpelCom and GTH. The Warid board is chaired by His Highness Sheikh Nahyan Mubarak Al Nahyan, with Jon Eddy as Vice Chairman and consists of three other directors nominated by VimpelCom and GTH. On conclusion of the legal merger, the combined entity will have a single board and management structure. As of today, Aamir Ibrahim becomes the CEO of both Mobilink and Warid. Andrew Kemp, the current CFO of Mobilink, will also assume the Warid CFO role.

Jeffrey Hedberg, Chief Executive Officer of Mobilink, said: “Today we are delighted to bring Mobilink and Warid together. Personally, it has been an exciting and rewarding journey and I will look back with deep pride at how our Mobilink team has worked tirelessly through this rapid turnaround to make the company so successful. The results speak for themselves. I have worked closely with Aamir and the team over the last two years and as I hand over the baton, I have full confidence that Mobilink and Warid will grow from strength to strength.”

The legal merger of the two companies, which will result in one merged legal entity having the same board, and management described above, is expected to be completed within approximately six months, subject to the fulfilment of the required legal processes in Pakistan. Mobilink and Warid will shortly file a petition to the Islamabad High Court in order to commence the process of legal merger.

As previously stated, the transaction is expected to create capex and opex synergies with a net present value of approximately USD 500 million with an annual run rate of well over USD 100 million of free cash flow improvements by year three. The combined revenue of both companies for the 12 months to March 2016 was USD 1.4 billion4.

Islamabad:  The Competition Commission of Pakistan (“CCP”) has approved the merger of Pakistan Mobile Communications Limited (“Mobilink”) and Warid Telecom (Private) Limited (“Warid”)*. This approval is the first of four required approvals from the local regulatory bodies, including Pakistan Telecommunication Authority (“PTA”), Securities & Exchange Commission Pakistan (“SECP”) and the State Bank of Pakistan (“SBP”).

Commenting on the approval, Jean-Yves Charlier, CEO of VimpelCom, said, 
“We are pleased that the Competition Commission of Pakistan has approved our request to merge the two businesses. The combination of Mobilink and Warid will be a positive step for the development of technology and communications services in Pakistan. Together, the future entity will serve more than 45 million customers through a best-in-class mobile and high-speed network, and bring further investment into infrastructure and digital services for consumers in Pakistan as they navigate the digital world.”

Designed to provide ease of mind to parents anxious about their kid’s whereabouts and safety, the wearable watch acts as a real-time GPS tracker and a phone with a one button SOS call to predefined numbers.
